These Terms of Use govern your use of the website located at https://www.cognifirst.com/  (CogniFirst) and any related services (Services)  provided by CogniFirst. By accessing https://www.cognifirst.com/ , you agree to abide by these Terms of Use and to comply with all applicable laws and regulations. If you do not agree with these Terms of Use, you are prohibited from using or accessing this website or using any other services provided by CogniFirst. We, CogniFirst, reserve the right to review and amend any of these Terms of Use at our sole discretion. Upon doing so, we will update this page. Any changes to these Terms of Use will take effect immediately from the date of publication.

Limitations of Use

By using this website and Services, you warrant on behalf of yourself, your users, and other parties you represent that you will not:

Intellectual Property

• Using our Services does not give you ownership of any intellectual property rights on our Services .
• CogniFirst  gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software provided to you by CogniFirst as part of the Services. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by CogniFirst, in the manner permitted by these terms. You may not copy, modify, distribute, sell, build on top of or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.
• This license shall automatically terminate if you violate any of these restrictions or the Terms of Use, and may be terminated by CogniFirst at any time.

User-Generated Content

You retain full ownership of any intellectual property rights in the content you submit to us through our website. We do not claim ownership of your content. However, by submitting it, you grant us a license to use it as necessary to provide and improve our Services.

By using our Website and its associated Services, you grant us a limited, non-exclusive, royalty-free license to display your name, logo, and other identifying marks within the Services for the purpose of account identification, collaboration, and functionality. If at any time you prefer that we stop using your name or logo for marketing purposes, you may notify us in writing, and we will remove them within a reasonable period.

Information We Collect:

For example, we may send you alerts if we detect suspicious activity, notify you about upcoming changes or improvements to our Services, or respond to support requests and keep a record to help resolve issues. We also collect activity information when using our Services. This includes the number of files uploaded, run status and the time of uploads. We do use the information we collect in existing Services to help us improve the Service we provide.

When CogniFirst shares your information:

We do not share the data you upload  with companies, organisations or individuals outside of CogniFirst except in the following cases:

• For Legal Purpose : CogniFirst shall comply with all applicable local, state, national and foreign laws in connection with its delivery of the SaaS Service and CogniFirst will  disclose the Data to any government agency, court, or law enforcement only in compliance with the laws.
• For external processing: CogniFirst uses the services of trusted third party sub-processors to deliver its products and services and offer additional support to customers and users. Our sub-processors  are bound by appropriate confidentiality obligations and security measures to ensure the protection of your data.  CogniFirst expressly consents to and accepts the terms and conditions as outlined in the governing policies of the engaged sub-processors. CogniFirst relies on Privacy and security policy of these Sub-Processors to ensure data is used solely for the purposes as intended  and such data is not used to train their models.  

Personal data:

CogniFirst will not identify, retain, sell, use, or disclose Personal Information contained in the Client’s data. For any other specific purpose for which processing of Personal Data is required, Client will  take all necessary steps to ensure such processing complies with applicable data protection laws.

Our Warranties and Disclaimers

Other than as expressly set out in these terms or additional terms, neither CogniFirst nor its Suppliers or Distributors or Affiliates make any special promises about the Services. We provide the Services “AS IS”. We do not make any commitments about the content within the Services , the specific function of the Services or their Reliability , Availability or ability to meet your needs.

Some Jurisdictions provide for certain warranties , like the implied warranty of merchandisability, fitness for a particular purpose and non-infringement . To the extent permitted by Law, we exclude all warranties.

Liability for our Services

When permitted by applicable law, CogniFirst, and CogniFirst’s Suppliers, Distributors and Affiliates, will not be responsible for lost profits, revenues, or data, financial losses or consequential or punitive damages. In the context of this agreement,“consequential loss” includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity, or otherwise.

To the extent permitted by applicable law, the total liability of CogniFirst , and its Suppliers, Distributors and Affiliates , for any claim under these terms, including for any implied warranties, is limited to the amount you paid us to use the Services.

In all cases, CogniFirst and its Suppliers, Distributors, Sub-Processors and Affiliates will not be liable for any loss or damage that is not reasonably foreseeable.

Business uses of our Services

If you are using our Services on behalf of a business, that business accepts these terms. It will hold harmless and indemnify CogniFirst and its affiliates, officers, agents, and employees from any claim, suit or action arising from or related to the use of the Services or violation of these terms, including any liability or expense arising from claims, losses, damages, suits, judgments, litigation costs and attorneys’ fees.

The inclusion of any link does not imply endorsement, approval, or control by CogniFirst of the site. Use of any such linked site is at your own risk, and we strongly advise you to make your own investigations with respect to the suitability of those sites.

Billing & Refunds

We charge you for access to the product in monthly and yearly plans. You can easily cancel your subscription at any time you like. We will no longer charge you anything once you cancel your subscription. We may change our pricing, pricing policies, features, and access restrictions at any time. Changes will take effect beginning with your next billing cycle after we post the updates. For any refunds, please write to us at billing@cognifirst.com.

Governing Law and Jurisdiction

Any disputes arising out of or relating to these Terms and Conditions for the Services, will be governed by the laws of India, with the courts of Bangalore, Karnataka, having exclusive jurisdiction without reference to any conflict of laws rules.  For information about how to contact CogniFirst, please email us at terms@cognifirst.com.

Modifying and Terminating Services

We continually improve our Services and may add, change, or remove features, or suspend or discontinue a Service at any time. You may stop using our Services whenever you wish. CogniFirst may also stop providing Services to you, or add or create new limits to our Services at any time. If we discontinue a Service, we will, where reasonably possible, give you advance notice and an opportunity to retrieve your data.

About These Terms

We may update these Terms or any Service-specific terms to reflect changes in law or our Services. Updates will take effect no sooner than 14 days after posting, unless they relate to new features or legal requirements, in which case they are effective immediately. Continued use of the Services means you accept the updated Terms.

If additional terms conflict with these Terms, the additional terms will govern. Failure to enforce a provision does not waive our rights. If any provision is unenforceable, the rest remain in effect.
